These Terms of Service (“Terms,” “Agreement”) govern your access to and use of the website, customer portal, platform, digital tools, and services offered by Augdepot LLC (“Company,” “we,” “us,” “our”), including augmented-reality (AR) digital products, upload portals, project systems, analytics features, support pages, and any other site or service we operate (collectively, the “Service”).

By accessing, purchasing from, creating an account for, or using the Service (including the customer portal), you agree to be bound by these Terms and our Privacy Policy and Refund Policy. If you do not agree, you must stop using the Service immediately.

These Terms are written to document our commercial practices for attorney review. They do not replace advice from a licensed attorney. Some consumer protection laws cannot be waived.

1. Eligibility & Account Requirements

You may use the Service only if:

You are at least 18 years old or the age of majority in your jurisdiction;
You have the legal authority to enter into contracts;
All information you provide is accurate, complete, and up-to-date;
You will not use the Service for any unlawful or unauthorized purpose.

If using the Service on behalf of a business, you confirm you are authorized to bind that entity. You are responsible for all activity under your account and portal login credentials.

2. Description of Service

Augdepot LLC provides digital, augmented-reality (AR) experiences and related tools, including but not limited to:

AR Cards / invitations
AR Photo Albums
AR Photo Prints / canvases (digital overlay service)
AR Marketing Projects
Customizable digital templates and project workflows
QR codes and AR activation links
Customer portal access to manage projects, uploads, delivery assets, renewals, and (if purchased) analytics
Optional analytics and on-scan features (for example destination CTA and social profile links)

Unless a product listing expressly states that a physical item will be shipped, items delivered are digital products / digital services. No physical print is included by default. You are responsible for printing and for ensuring devices can access and display AR experiences.

3. Customer Portal

We may provide a customer portal (dashboard) where you can:

Access order/project status and delivery assets;
Upload or replace project files (subject to the change window and production status);
View analytics if you purchased an analytics add-on;
Configure certain on-scan options (for example CTA and social links) where enabled;
Manage renewal / extension requests where offered.

Portal availability is provided on an “as available” basis. We may modify portal features, layout, or access methods. You must keep login credentials confidential. We may suspend portal access for security, abuse, non-payment, or Terms violations.

Analytics (if purchased) may include metrics such as opens, scans, CTA clicks, watch time, device mix, and activity over time. Metrics are estimates and may be incomplete due to device settings, ad blockers, network issues, or third-party limitations.

4. User Content (Images, Videos, Logos, Personal & Business Media)

4.1 Definition

“User Content” means any images, photos, videos, logos, text, business materials, personal media, or other files you upload to our platform, portal, or provide to us for your project.

4.2 Your Responsibilities & Representations

By submitting User Content, you represent and warrant that:

You own the rights to the content or have all licenses/permissions needed to use it and to authorize us to process it;
Your content does not infringe copyright, trademark, privacy, publicity, or other rights;
Your content does not contain sensitive information of others without required consent;
Your content does not include minors unless you have legal authority or parental/guardian permission;
Your content is safe, non-malicious, and free of viruses or harmful code.

You assume full responsibility for claims related to your User Content, including claims by people who appear in or are depicted by your media.

4.3 License You Grant Us

By uploading User Content, you grant Augdepot LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to store, process, modify, transmit, and display the content as needed to:

create and deliver AR experiences and fulfill your order;
operate the portal and related systems;
maintain backups during the applicable retention period;
provide troubleshooting, quality control, security, and system improvement (including using anonymized or non-identifiable technical data).

We will not use your identifiable User Content for our marketing without your explicit written consent.

4.4 Prohibited Content

You may not upload content that is unlawful, threatening, defamatory, obscene, violent, discriminatory, pornographic, harmful to minors, infringing, fraudulent, or malicious. We may reject, remove, or disable any User Content at our discretion.

5. Hosting Term, Expiration, Renewal & Permanent Deletion

Each project is hosted for the term purchased (for example 1 month, 6 months, 1 year, or lifetime, as offered on the product page). Lifetime offerings, if available, are subject to these Terms and reasonable continuity of the Service.

Expiration: When a non-lifetime term ends, the AR experience may stop working for scanners and portal project features may be limited or disabled until renewed.

Renewal: You may renew or extend before expiration (or during the retention window below) through the portal or by contacting support, subject to then-current pricing, technical feasibility, and availability. Renewal is your responsibility; we may send reminder emails but are not obligated to ensure you renew.

90-day post-expiration retention: After a project expires without renewal, we may retain associated User Content, project files, AR assets, and related portal/project records for up to ninety (90) days for renewal, recovery, troubleshooting, or operational needs.

Permanent deletion — no recovery: If you do not renew within that 90-day period, we will permanently delete the project’s User Content and related files from our primary databases and storage systems, and from backups according to our deletion processes. After permanent deletion, content cannot be restored, recovered, or reconstructed by us. You should keep your own copies of all source files. Refunds are not provided for expired or deleted projects.

You may request earlier deletion by emailing info@augdepot.com. We will process such requests subject to legal retention needs (for example fraud, dispute, tax, or security records).

Full purge from encrypted backups and disaster-recovery systems may complete after the primary deletion date.

6. Digital Product Delivery

Once you place an order:

You receive access instructions, a portal login path, and/or an upload link;
After required uploads, we create your AR project;
Your final AR experience is delivered digitally via email and/or the portal;
Delivery time varies based on complexity, volume, revisions, and workload.

Spam filtering, incorrect email input, device issues, or your failure to check the portal are outside our control.

7. 48-Hour Change Window

Customers have 48 hours after uploading files to request changes, corrections, or adjustments. After 48 hours, the project is considered final for the original scope; later changes may incur extra fees unless the issue is a verified technical error caused by us.

8. Payments & Refunds

Payments must be made through our approved processors (including Shopify Payments and other enabled methods). Because products are digital and custom-made, sales are final except as described in our Refund Policy or required by applicable law. See the Refund Policy for eligible exceptions, chargeback rules, and request timing.

9. Acceptable Use Policy

You agree not to:

use the Service for illegal or unauthorized purposes;
attempt to hack, scrape, reverse engineer, or disrupt the platform or portal;
upload harmful or malicious files;
impersonate another person or business;
use automation or bots to abuse the Service;
interfere with servers, systems, or network operations;
resell our platform access except as expressly allowed in writing.

Violation may result in suspension or termination without refund where permitted by law.

10. Intellectual Property Rights

All software, code, design systems, AR technology, templates, website content, portal UI, and branding are owned by Augdepot LLC or its licensors. Users may not copy, reproduce, resell, distribute, or reverse engineer any part of the Service except as needed to use purchased deliverables for their intended purpose.

Your User Content remains your property, subject to the license granted for fulfillment and Service operation.

11. Copyright Complaints

If you believe content on the Service infringes your copyright, email info@augdepot.com with: (a) your contact information; (b) identification of the copyrighted work; (c) the URL or project details; (d) a statement of good-faith belief that use is unauthorized; and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act. We may remove or disable material and, where appropriate, terminate repeat infringers.

12. Third-Party Services

We may use third parties for hosting, analytics, payment processing, content delivery, email, and AR rendering. We are not responsible for their independent policies, outages, or actions outside our reasonable control. Shopify powers storefront checkout; Shopify’s terms and privacy notices also apply to checkout and store infrastructure.

13. Security

We implement commercially reasonable safeguards. No system can guarantee absolute security. You are responsible for securing your login credentials, devices, and network connection.

14. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we do not guarantee uninterrupted operation, error-free delivery, compatibility with all devices/browsers, third-party reliability, permanent access to AR links after expiration, or restoration of deleted content.

You use the Service at your own risk.

15. Limitation of Liability

To the fullest extent permitted by law, Augdepot LLC is not liable for lost profits, lost sales, lost data, lost business, device incompatibility, misuse of User Content by third parties, delays or interruptions, user error, illegal or unauthorized content you upload, or indirect, incidental, special, or consequential damages.

Our total aggregate liability arising out of or related to any order or these Terms will not exceed the amount you paid to us for the specific order giving rise to the claim.

Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify and hold harmless Augdepot LLC and its owners, employees, contractors, and affiliates from claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, your violation of these Terms, infringement of third-party rights, or misuse of AR tools or deliverables.

17. Termination

We may suspend or terminate access (including portal access) if you violate these Terms, upload prohibited content, pose security or legal risks, or if operational necessity requires it. Termination does not erase amounts you owe. Sections that by nature should survive (including IP, liability, indemnity, deletion, and governing law) survive termination.

18. Governing Law & Venue

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflicts of law rules. Subject to mandatory consumer protections in your jurisdiction, disputes will be resolved in the state or federal courts located in Missouri, United States, and you consent to personal jurisdiction there.

19. International Customers

The Service is operated from the United States. If you access it from other countries, you do so on your own initiative and are responsible for compliance with local laws. Mandatory consumer rights in your country of residence may give you remedies beyond these Terms; where non-waivable local law conflicts with these Terms, local law controls to that extent.

20. Changes to Terms

We may update these Terms at any time. Updated versions will show a new “Last Updated” date. Continued use after updates constitutes acceptance, except where additional notice or consent is required by law.
